Three Main Schemes

  • Goodwill = acquisition price minus fair-value net identifiable assets.

  • Business transfer: goodwill amortised for tax over 5 years. Share transfer: not tax-deductible (non-qualifying case).

Qualifying vs. Non-Qualifying Reorganisations & Equity Mid-Vesting

  • Qualifying reorganisation: meets continuity-of-equity/business rules → unrealised gains deferred.
  • Non-qualifying: assets treated as transferred at fair value → immediate taxation.
  • Equity mid-vesting at M&A: acceleration (single/double trigger), assumption, or drag-along — unvested treatment must be contractually explicit.
Pick the scheme early and involve both an M&A adviser and a tax specialist — the difference in net proceeds can exceed 10 percentage points.
