Breaking a fixed-term service contract early
Educational overview of Japanese contract law, not legal advice — the actual contract and a lawyer govern any real case. A fixed-term (e.g. annual) contract binds both sides for the term: you cannot walk away just because you're unhappy or the price feels high. There are only three real exits — a cancellation clause, the other party's non-performance, or mutual agreement.
The default: a term binds you
- A contract with a fixed period (year contract) cannot normally be cancelled mid-term by one side — both are bound for the term (the principle that agreements must be kept).
- 'The rent is higher than competitors' is NOT a legal ground to terminate. It's a lever for renegotiation or non-renewal, not for breaking the term.
- Feeling the deal is bad after signing does not create a right to exit.
The three real exits
- (1) Cancellation clause: the contract itself may allow mid-term cancellation, often with notice period + penalty (違約金). Read this clause first — it decides everything.
- (2) Non-performance (債務不履行): if the provider fails to deliver the promised service, Civil Code Art. 541 lets you terminate — but you must first demand cure within a reasonable period (催告), and the breach must not be merely trivial.
- (3) Mutual agreement (合意解約): both sides agree to end it — the cleanest route, usually via negotiation.
Classification and consumer law — two traps
- A coworking / incubation private-room membership is usually a 'facility-use / service contract', NOT a building lease — so the tenant-protective 借地借家法 typically does NOT apply, and the contract's own terms are decisive.
- 消費者契約法 (Consumer Contract Act) protects individuals (consumers) only. If you signed as a company / for business, it generally does NOT apply — so 'I'm a weak consumer' arguments fail for a B2B contract.
- Practical order: read the cancellation & penalty clauses → document the service failures in writing → demand cure in writing (催告) → negotiate mutual termination → if the money is large or it escalates, consult a lawyer (弁護士).
期間の定めのある(年間)契約を途中で解約できるか
日本の契約法の教育的な整理であって、法的助言ではない——実際の可否は契約書と専門家(弁護士)が決める。年間契約のような「期間の定めのある契約」は、期間中は双方を拘束する。不満だから・高く感じるから、という理由だけでは抜けられない。抜け道は本質的に3つ——中途解約条項・相手方の債務不履行・合意解約——しかない。
原則:期間が来るまで拘束される
- 期間の定めのある契約(年間契約)は、一方の都合で期間中に解約できないのが原則。双方が期間中は拘束される(=合意は守られねばならない、という契約の大原則)。
- 「相場より賃料が高い」は法的な解約理由にならない。これは値下げ交渉や更新しない判断のレバーであって、期間途中で抜ける根拠ではない。
- 契約後に「損な取引だった」と感じても、それだけで解約権は生じない。
本当の抜け道は3つ
- (1) 中途解約条項:契約書自体が中途解約を認めている場合がある。多くは「予告期間+違約金(=途中でやめる際の金銭的ペナルティ)」付き。まずこの条項を読む——ここで結論のほとんどが決まる。
- (2) 債務不履行(=約束したサービスが提供されない):民法541条により解除できる。ただし先に「相当の期間を定めて是正を求める=催告」が必要で、かつ不履行が軽微(ささいな程度)でないことが条件。
- (3) 合意解約:双方が「やめる」ことに合意する。最も揉めにくい道で、通常は交渉で進める。

- コワーキング/インキュベーション施設の個室利用は、多くの場合「建物賃貸借」ではなく『施設利用契約(役務提供契約・会員契約)』。この場合、借主を強く守る借地借家法(=しゃくちしゃっかほう)は原則適用されず、契約書の文言が決め手になる。
- 消費者契約法(=消費者を守る法律)は個人(消費者)だけが対象。会社名義・事業として契約したなら原則適用されない——B2B契約で「自分は弱い消費者だ」という主張は通らない。
- 実務の順序:①解約条項・違約金条項を読む → ②サービス不履行の事実を書面で証拠化 → ③書面で是正を催告 → ④合意解約を交渉 → ⑤金額が大きい/こじれるなら弁護士に相談。
